Coronavirus Secretary of State Closures and Delays

The spread of COVID-19 is challenging everyone right now and organizations are making hard decisions on how to handle their business. We are seeing event cancellations at large and small venues alike. We are seeing restaurants temporarily changing their business model to take-out and delivery only. We are seeing schools and offices closing. This virus is wreaking havoc and uncertainty worldwide.

Secretary of State Closures and Reduced Operating Hours

Several Secretary of State offices may have reduced their operating hours or closed altogether due to the Coronavirus. This may delay some current orders and potentially some future orders as well. We will be contacting those with orders affected via email, but if you have any questions please contact us at 844.386.0178. We will update this page frequently as we hear more from the states.

 

Alaska

Counter service suspended. Limited staff, expect delays. Online services, mail, FedEx, and UPS remain available.

 

Alabama

Operating with limited staff

 

Arizona

AZ SOS has suspended expedited services for UCC Filings, UCC11 Certified Searches and UCC Copies. Uncertified Searches and Routine Services remain available. AZ SOS Counter service suspended (UCC, partnerships, apostilles, notarizations, trade names/trademarks). Online services, Drop Box, mail, UPS, FedEx remain available. Expect processing delays. AZ ACC (Corporation Commission – corporations & LLCs) – Counter service suspended. Limited staffing, expect delays. Drop Box, online services, mail, FedEx, and UPS remain available.

 

Arkansas

Counter service has been suspended. A drop box is available and will be checked 3x/day. Email, Mail, FedEx, UPS remain available. Telephones are NOT being answered at this time. Only essential personnel are working. Online service remains available.  Arkansas Secretary of State John Thurston announced that late fees and interest charges on businesses’ annual franchise taxes will be waived until July 15th. The filing deadline for annual franchise taxes is May 1st. Typically, companies filing after the deadline are charged a $25 late fee plus interest.  These penalties will be waived for those who file between May 2nd and July 15th. This only applies to the 2020 franchise tax reporting year.

 

California

Counter service suspended. A drop box is available. Mail, UPS, and FedEx remain available. Online services remain available. SOS is open with limited staff and resources; anticipate processing delays. Some county offices are closed or counter service has been suspended.

 

Colorado

Counter service suspended. A drop box is available. Mail, UPS, and FedEx remain available. Online service remains available. CO notaries have been granted temporary authority to perform remote notarizations.

 

Connecticut

Counter service has been suspended. Online and email requests remain available. Expedited service remains but will be mailed out (no pickups)

 

Delaware

Counter service is by appointment only. Agent access, online services, Drop Box, mail, UPS and FedEx remain available. Until further notice, the general information telephone line will not be available after 4:30pm.

 

District of Columbia

Counter Service Suspended until April 27. DCRA remains open. Online services are encouraged. Business Licenses, professional/occupational licenses which expire during the declared emergency will be considered valid and may be renewed up to 45 days after the declared emergency. Biennials and Trade Name Renewals may be filed without penalty from April 2- June 1.

 

Florida

Counter service suspended. Dropbox available, once daily. Online services, email, mail, FedEx, and UPS remain available. Expedite service remains but may be delayed. Annual Report filing deadline extended to June 30.

 

Georgia

Counter service suspended. Online and email services remain available. Expedited services remain available; expect delays. Annual Registration deadline extended to May 1, 2020.

 

Hawaii

Business Services and Bureau of Conveyances (UCC) are closed. Business Service Division staff are working remotely. Online services remain available. Mail, UPS, FedEx, email, and faxed requests will be delayed until after the building re-opens.

 

Idaho

Counter service suspended. Online and email services remain available. Expedited services remain available; expect delays.

 

Illinois

Counter service has been suspended. Routine and Expedited Services have been suspended. Staffing reduced to essential personnel only. The Department of Business Services anticipates being closed through April 30, 2020. No mail or hard copy paper filings will be processed during the closure. Online services remain available but delayed. Annual Report due date extended by at least 30 days after the office reopens, and penalties are being waived. IL notaries have been granted temporary authority to perform remote, online notarizations.

 

Indiana

The IN SOS remains open, with limited staffing and resources. Counter service has been suspended, with appointments required for all walk-in service. Online services remain available. Email is available for business entity filings which cannot be completed online. Mail/UPS/FedEx remain available. Expect processing delays.

 

Iowa

Counter service suspended from March 18-27. Online and email services remain available. To offset closure of counter services, the State is allowing filings via email from service companies which have prepaid accounts. Kansas

Counter service suspended as of 3/23/2020. SOS and Business Services Division will be operating with limited staff beginning 3/23/2020. Online services, Drop Box, email, mail, FedEx and UPS remain available.  The deadline for filing Annual Reports has been extended to July 15, 2020.

 

Kentucky

Counter service has been suspended; Online service and email requests remain.

 

Louisiana

Counter service has been suspended. Online and email requests remain available.

 

Maine

Counter service has been suspended and Expedited Services have been modified. A drop box is available. Online services and requests sent by email, mail, or UPS/FedEx remain available.

 

Maryland

Counter service suspended (no appointments permitted). Limited hours of operation are 9am – 1pm. Phone lines have limited staffing or are only accepting voicemails. Online service and mail/FedEx/UPS remain available. Expedited Service fees are being waived for online filings. Annual Report/Personal Property Return filing date extended from April 15 to July 15 for all entities. All expiration and renewal dates, including name reservations, trade names, and entity forfeiture dates, extended to 30th day after date on which state of emergency is terminated.

 

Massachusetts

The MA SOS remains open, with limited staffing and resources. Anticipate delays. Counter service suspended. Drop box, mail, FedEx, and UPS remain available. MA trial courts & superior courts closed to the public until April 6. Any Registry of Deeds located within a courthouse is also closed. Electronic services remain available. Mass. US District Court is currently open with some access limitations.

 

Michigan

Counter Service suspended as of March 19. Online services, mail, FedEx, UPS remain available.

 

Minnesota

Counter service suspended as of 3/18/2020 at 5pm. Reduced telephone hours are 9am to 1pm. Electronic services remain available. Hennepin County Recorder’s office is open, but temporarily suspending paper document recording until further notice. Electronic recording remains available.  State and local income tax filing / payment deadlines extended to July 15.

 

Missouri

Counter Service suspended. Online services, mail, FedEx, UPS remain available.

 

Mississippi

Counter service suspended. Online service, mail, UPS, and FedEx remain available. Remote Notarization enacted. In-Person Requirement for Notarizations Waived.

 

Montana

The MT Business Services Division remains open with limited staff.

 

Nebraska

Counter Service has been suspended. Online services, mail, FedEx, UPS remain available. Emergency apostille needs may be handled by appointment.

 

Nevada

Counter service suspended. SOS office will be closed on March 20 and March 27. Online services remain available.

 

New Hampshire

Counter service without an appointment have been suspended. Online services, mail, FedEx, and UPS remain available.

 

New Jersey

Counter Service has been suspended. Online services, mail, FedEx, UPS remain available. Emergency apostille needs may be handled by appointment.

 

New York

Counter service and fax requests suspended at Division of Corporations. Online services, mail, FedEx, UPS remain available. 2-hour and Same Day filings are being processed with evidence the next day. Next Day filings will take 3-4 days. Limited staffing, expect delays. Many County Clerks have either suspended counter service or closed entirely. New York County Clerk is not accepting Business Certificates at this time. County UCC/Lien filings, notary certifications, search and retrieval services remain available in most counties. NY County, Kings, Queens, Bronx, Richmond Counties – Lower Civil Court, Landlord & Tenant Court, Small Claims Court, US District Court, Criminal Courts are CLOSED. In Kings County, the Surrogates/Probate Court is CLOSED. The SOS Office in NYC for Apostilles is CLOSED.

 

New Mexico

Same Day (waiting) service has been suspended until further notice. All in-person transactions without an appointment have also been suspended.

 

North Carolina

Counter Service will be suspended beginning Friday, March 20 at 4pm. Appointments required for drop off/pickup. Online services remain available.

 

North Dakota

Counter service is by appointment only. Agent access, online services, Drop Box, mail, UPS and FedEx remain available.

 

Ohio

Counter service has been suspended. Drop box, email, and online services remain available.

 

Oklahoma

Counter service has been suspended. Online services, mail, UPS, and FedEx remain available.

 

Oregon

Counter service has been suspended, and appointments have been discontinued. Online services, Mail, UPS, and FedEx remain available. Limited staffing. Expect delays.

 

Pennsylvania

Counter service has been suspended. Expedited services is not available at this time. Online service, mail, UPS, and FedEx remains available. Dept of Revenue is extending all business tax licenses and certifications which are set to expire until further communication is received from the department. PA Office of General Counsel has waived the in-person service requirement on SOP and will accept service by email or mail during the COVID-19 outbreak. Deadline to file PA Tax Returns extended – returns due by April 15 have been extended to July 15; returns due by May 15 have been extended to August 14.

 

Rhode Island

Limited counter service is available by appointment only. Use of online services is encouraged. Mail/UPS/FedEx remain available.

 

South Carolina

SOS Business Services office is open but restricting public access. Counter service suspended. Online services, mail, FedEx, and UPS remain available.

 

South Dakota

Counter service has been suspended until March 30. Online services, email, mail, FedEx, and UPS remain available.

 

Tennessee

Counter service has been suspended. Drop box and online services are available, as are mail & FedEx submissions.

 

Texas

Counter service has been suspended.  Apostille/Authentications are available by appointment only to service companies (same day processing).  Drop off is NOT available for UCC.  Mail, Fax, UPS, FedEx remain available.  Expect processing delays.  SOS is working on alternate options for processing and will update. Due date for Franchise Tax Reports extended to July 15, 2020.

 

Utah

Counter service has been suspended. Online services are available, as are mail, UPS & FedEx submissions.

 

Vermont

Counter service has been suspended. Online services are available, as are mail, UPS & FedEx submissions.

 

Virginia 

Counter service has been suspended. Online services are available, as are Drop Box, Mail, UPS & FedEx submissions. Reduced staffing, expect delays.

 

Washington

Counter service has been suspended. Online and email services remain available. Expedited filings by mail are now taking 2-5 days (this does not include mailing time, which can be unpredictable), and online filings are 5-7 days.

 

West Virginia

Counter service has been suspended. Online services and requests sent by email, mail, or UPS/FedEx remain available.

 

Wisconsin

Counter service has been suspended again. Online services, email, mail, FedEx and UPS remain available. DMV has suspended counter service. Mail, FedEx, and UPS remain available.

 

Wyoming

Counter service is limited. Online services, telephone, mail, email, FedEx, and UPS remain available.

 

Federal
